Terms of Service

Last updated: [CONFIRM: date of legal review]

These terms form the agreement between Enerqubix AI Private Limited (“Enerqubix”, “we”, “us”) and any business or individual (“Client”, “you”) who engages our digital marketing services. Please read them before placing an order or signing a proposal.

1. Engagement

Work begins only after we have confirmed the scope in writing — by proposal, email or WhatsApp message — and received the first payment instalment.

Services are delivered remotely. Where an in-person meeting is requested, we will agree the location and any associated cost separately.

We assign team members at our discretion. We do not guarantee that the same person will manage your account throughout the engagement.

Either party may end an ongoing monthly retainer by giving [CONFIRM: e.g. 30 days’] written notice by email.

2. Payment

All fees are quoted in Indian Rupees (INR) and are exclusive of Goods and Services Tax (GST). GST at 18% will be added to every invoice at the applicable rate.

Project fees are split as follows: [CONFIRM: e.g. 50% on written confirmation, 50% on delivery].

Monthly retainers are invoiced at the start of each billing period and are due within [CONFIRM: e.g. 7 days] of the invoice date.

Ad spend (Google Ads, Meta Ads, and any other paid media) is billed separately and passed through at cost with no mark-up unless agreed otherwise in writing.

Invoices unpaid after [CONFIRM: e.g. 14 days] may incur interest at [CONFIRM: rate, e.g. 1.5% per month] on the outstanding balance. We reserve the right to pause services on accounts with overdue invoices until the balance is settled.

No refunds are available on work already delivered or on retainer fees for a billing period that has already commenced.

3. Intellectual property

On full payment of all outstanding fees, ownership of creative deliverables produced specifically for your business — including ad copy, graphic designs, landing page content, and written content — transfers to you.

Until full payment is received, all creative deliverables remain the intellectual property of Enerqubix AI Private Limited. You may not publish, reproduce, distribute or modify them without our written consent.

We retain the right to reference completed work in our portfolio, case studies and proposals. Client identities will be anonymised unless you have given us separate written consent for attribution.

Any pre-existing materials, tools, templates, software or methodologies we use to deliver services remain our property and are not transferred to you.

4. No guarantee of results

Digital marketing outcomes depend on many factors outside our control, including changes to search engine and social media platform algorithms, competitor activity, market conditions, seasonality, and the accuracy and completeness of information you provide to us.

We apply professional care and industry-standard practices to every engagement. However, we make no guarantee of specific search rankings, reach, lead volumes, conversion rates, sales or revenue outcomes.

5. Client responsibilities

  • Provide accurate and up-to-date information about your business, target audience, budget and goals.
  • Grant necessary access to ad accounts, analytics, website and social profiles within [CONFIRM: e.g. 3 working days] of the engagement start date.
  • Review and approve creative materials within agreed timescales. Delays caused by late approvals may affect delivery timelines without penalty to Enerqubix.
  • Ensure that the products or services you advertise comply with all applicable laws and the advertising policies of Google and Meta Platforms.

6. Limitation of liability

To the maximum extent permitted by Indian law, our total liability to you for any claim arising out of or in connection with our services will not exceed the fees paid by you to us in the three calendar months immediately preceding the claim.

We will not be liable for any indirect, consequential, special or punitive loss, including loss of profit, loss of business, or loss of data.

7. Confidentiality

Each party will keep the other’s confidential business information — including pricing, strategies, campaign data, and client lists — strictly confidential. We will not disclose it to third parties without prior written consent, except where required by law or by a competent court.

8. Governing law and disputes

These terms are governed by the laws of India. If a dispute cannot be resolved amicably within [CONFIRM: e.g. 30 days] of written notice, it will be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.

9. Changes to these terms

We may update these terms from time to time. The “Last updated” date at the top of the page will always reflect the most recent revision. Continuing to engage our services after we have notified you of a change constitutes acceptance of the updated terms.
